General Terms and Conditions

v1.3September 2026Jurisdiction: Finland / EU

Art. 1 Scope of Service

1.1

Freyr is a Software-as-a-Service (SaaS) platform operated by Arcteon, designed to provide precision agriculture insights through satellite data analysis.

1.2

The service includes field watching, crop health assessments, and harvest optimization data based on European satellite telemetry.

1.3

These terms govern the relationship between Arcteon (the "Provider") and the customer (the "User") for the use of the Freyr platform.

1.4

Freyr is offered to businesses only. The User confirms that they enter this agreement in the course of a trade, business or profession (for example as a farm company, a cooperative, or a sole trader with a business registration) and not as a consumer. A business registration number for the country the farm resides in is required to open an account, and the Provider may verify it against the national business register.

1.5

Because this agreement is between businesses, the consumer rules on distance contracts, including the 14-day right of withdrawal under Directive 2011/83/EU, do not apply to it.

Art. 2 User Rights and Data Ownership

2.1

User Data Ownership: The User retains 100% ownership of all raw data, field geometries, and agricultural insights generated through the use of the platform.

2.2

License to Process: The User grants the Provider a non-exclusive, non-transferable right to process field data solely for the purpose of delivering the contracted services.

2.3

Export Rights: The User has the right to export their data in standard digital formats at any time, during the term of the agreement and after it ends, for as long as the data is held.

2.4

Farm Members: The User may add staff and advisers ("Members") to work in the User's account. Members act on the User's behalf, and all data a Member enters belongs to the User. The User decides what each Member may see, edit and export, and is responsible for the Members it adds.

2.5

Data Processing Terms (Art. 28 GDPR): For Member accounts and all data Members enter, the User is the controller and the Provider is the processor. The Provider processes that data only on the User's documented instructions — these terms and the User's settings in the platform — and only to deliver the contracted services; ensures its personnel are bound by confidentiality; applies the security measures described in the Privacy Policy; uses only the sub-processors listed there and informs the User of any change, giving the User the opportunity to object; assists the User in answering data subject requests and in meeting its security and breach-notification obligations; deletes the data or, at the User's choice, returns it when the Member or the account is removed, as set out in the Privacy Policy; and makes available the information needed to demonstrate compliance with this clause.

Art. 3 Intellectual Property

3.1

All software, algorithms, and trademarks (including the "Freyr" name and logo) are the exclusive intellectual property of Arcteon.

3.2

The User is granted a limited, revocable license to access and use the platform interface for internal agricultural operations.

Art. 4 Fees, Trial and Payment

4.1

Access to the platform is subject to the annual subscription fee for the plan the User selects, as specified on the Freyr pricing page. Fees are charged annually, in advance, for a twelve-month subscription term; there is no monthly plan.

4.2

The applicable plan is determined by the total area of the fields the User registers. Prices are per farm-size band and per tier (Basic or Pro), exclusive of VAT, which is added at checkout. Prices are set in EUR; where the User's local currency is supported it may be presented and charged in that currency, with any conversion performed by the payment provider. Arcteon is always settled in EUR.

4.3

14-day free trial: every new account begins with a 14-day free trial with full access to the Pro tier. No payment method is required to start the trial, and nothing is charged during it or at its end. If the User pays for a subscription during the trial, the trial is not shortened: the paid twelve-month term begins when the trial ends, and Pro stays available until then.

4.4

Paying for a subscription: nothing is charged automatically. To use Freyr after the trial, the User pays the annual fee for the selected plan, by bank transfer or by card, and always sees the price before paying.

4.5

Farm size: the User chooses the tier (Basic or Pro); the farm-size band is not chosen but follows from the total area of the fields the User has registered when a payment is requested. At renewal, the largest area registered during the ending term sets the band.

4.6

Renewal: a subscription does not renew by itself. About 30 days before the term ends, Freyr issues a payment request for the next twelve-month term at the then-current price for the User's farm-size band and tier, and reminds the User by email 30 days, 14 days and 2 days before the term ends. The User renews by paying it.

4.7

Changing tier: the User may move from Basic to Pro at any time during a paid term. The User then pays the difference between the Pro and the Basic annual fee for the User's farm-size band, for the share of the term that remains; Pro becomes available once that payment is received, and the end date of the term does not change. The next renewal is for a full year of Pro. A move from Pro to Basic takes effect at the next renewal; the rest of the paid term is not refunded, and Pro stays available until the term ends.

4.8

Fees are non-refundable. Cancelling a subscription, or not using the platform, does not entitle the User to a refund for a term already paid. This does not limit any refund the law requires regardless of agreement, for example where the Provider stops providing the service during a paid term.

4.9

If a renewal is not paid by the end of the term, the User keeps access for a grace period of 14 days. After that, access to the platform is suspended until a subscription is paid for. Suspension does not itself delete the User's data. A free trial that ends without a paid subscription ends the same way: access is suspended until a subscription is paid for, and the User's data is not deleted at that point. While access is suspended, the User can still pay for a subscription, export their data, access their receipts and delete their account. What happens afterwards to the data of an account that stays suspended is set out in the Privacy Policy.

4.10

Payment is processed by a third-party payment provider (see the Privacy Policy). Freyr does not store full payment-card numbers.

Art. 5 Limitation of Liability

5.1

Operational Decision-Making: The Freyr platform provides informational guidance based on satellite observation; all final agricultural decisions (e.g., planting, fertilization, harvesting) remain the sole responsibility of the User.

5.2

Data Accuracy: While the Provider utilizes high-fidelity satellite data, it is not liable for outcomes resulting from environmental variables beyond the system's control.

5.3

Direct Damages: To the maximum extent permitted by Finnish law, the Provider's liability is limited to the total fees paid by the User in the twelve (12) months preceding the claim.

Art. 6 Term and Termination

6.1

This agreement is active upon account initialization and remains in effect until terminated by either party.

6.2

The User may cancel at any time. Cancellation stops the next renewal; it takes effect at the end of the subscription term already paid for, and the User keeps full access until then.

6.3

Coming back: if the User pays for a subscription again, before or after the term ends, access continues or is restored, with the User's data as it was, unless it has since been deleted as described in the Privacy Policy.

6.4

Ending a subscription does not delete the User's data. After the term ends, access to the platform is suspended, while the User's right to export their data and to have their account deleted remains available at no cost. Data is deleted when the User requests deletion of their account, or when the retention periods described in the Privacy Policy end.

Art. 7 Governing Law and Jurisdiction

7.1

This agreement is governed by the laws of Finland.

7.2

Any disputes arising from these terms shall be settled exclusively in the District Court of Helsinki, Finland.
